No Guarantees

We do not promise or guarantee specific results, rankings, traffic volumes, conversion rates, revenue increases, or any other measurable outcomes. Professional services depend on many factors outside our control, including market conditions, client responsiveness, and implementation quality.

Our work is based on industry best practices, experience, and professional judgment. We commit to delivering quality work, not guaranteed outcomes.

Client Responsibilities

To ensure successful project delivery, clients are responsible for:

• Providing accurate, complete, and timely information needed for the project
• Responding to requests for feedback, approvals, or clarification within reasonable timeframes
• Ensuring they have the legal rights to all materials, content, and assets they provide
• Cooperating in good faith throughout the engagement
• Implementing recommendations appropriately and maintaining deliverables after handoff

Failure to meet these responsibilities may result in project delays, additional costs, or termination of services.

Intellectual Property

Our website content, branding, code, and proprietary processes are owned by or licensed to Chewb & SPAKOi and are protected by intellectual property laws. You may not copy, reproduce, or repurpose our content without written permission.

For client projects, intellectual property rights are defined in individual agreements or SOWs. Generally, upon full payment, clients receive ownership or appropriate licenses to deliverables created specifically for their project. We retain the right to use completed work in our portfolio unless otherwise agreed.

Any pre-existing tools, frameworks, or methodologies we use remain our property and may be reused across projects.

Payments and Refunds

Commercial terms, including fees, payment schedules, and milestones, are outlined in separate written agreements, proposals, or SOWs. Pricing is not publicly listed and is determined based on project scope and requirements.

As a baseline, fees are non-refundable once work has begun. This policy reflects the fact that our services involve time, expertise, and reserved capacity. Any exceptions to this policy must be explicitly stated in a written agreement.

Late payments may result in project suspension, interest charges, or termination of services. We reserve the right to withhold deliverables until full payment is received.

Limitation of Liability

To the maximum extent permitted by law, Chewb & SPAKOi and its principals are not liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services or website. This includes, but is not limited to, lost profits, lost revenue, loss of data, or business interruption.

Our total liability for any claim arising from services provided shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Chewb & SPAKOi from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your misuse of our website or services, (b) unlawful or infringing content you provide, (c) your breach of these Terms, or (d) your violation of any third-party rights.

These Terms of Service are governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions.
